Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and REI Compass™ ("we," "us," or "our"). By creating an account, accessing, or using REI Compass™ (the "Service"), you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference.

If you do not agree to these Terms, you may not access or use the Service.

You must be at least 18 years old and legally able to enter into a binding contract in your jurisdiction to use REI Compass™. By using the Service you represent that you meet these requirements.

If you are using the Service on behalf of a company, entity, or organization, you represent that you have the authority to bind that entity to these Terms.

REI Compass™ is a software platform that helps real estate investors organize deals, analyze properties, manage their Power Team, and stay accountable to their investing goals. Features are added, adjusted, and improved on an ongoing basis.

Account Creation

You must create an account to use most features of the Service. You agree to provide accurate, current, and complete information and to keep that information up to date.

Account Security

• You are responsible for maintaining the confidentiality of your credentials.
• You are responsible for all activity that occurs under your account.
• You must promptly notify us of any unauthorized access or suspected security incident.
• We strongly recommend enabling Multi-Factor Authentication (MFA).

One Account Per User

Accounts are intended for individual use. You may not share your credentials or allow others to access the Service under your account.

Access to paid features of REI Compass™ requires an active subscription. Pricing, plan features, and billing cycles are presented at the point of purchase and may be updated from time to time.

• Subscriptions renew automatically at the end of each billing period unless canceled.
• You authorize us (through our payment processor) to charge your payment method on each renewal.
• You are responsible for keeping your payment method current.
• All fees are stated exclusive of applicable taxes, which may be added at checkout.

You may cancel your subscription at any time from within your account. Detailed refund eligibility and process are described in our Refund & Cancellation Policy, which is incorporated into these Terms by reference.

You agree not to:

• Use the Service for any unlawful, fraudulent, or harmful purpose.
• Attempt to gain unauthorized access to any account, system, or data.
• Interfere with, disrupt, or degrade the Service or its infrastructure.
• Reverse engineer, decompile, scrape, or otherwise attempt to extract source code, models, or non-public components of the Service.
• Upload malicious code, viruses, or any content that violates applicable law or the rights of others.
• Resell, sublicense, or provide the Service to third parties without our written permission.
• Use the Service to store or transmit information you do not have the legal right to collect, store, or share.

We reserve the right to investigate suspected violations and to suspend or terminate accounts that violate these Terms.

REI Compass™ includes features powered by artificial intelligence. When you use an AI feature, the inputs you provide are transmitted to our AI provider solely to generate the requested output.

REI Compass™ may provide members with original AI prompts, templates, checklists, guides, worksheets, training materials, and related resources through the Investor Toolkit.

These materials are collectively referred to as “Toolkit Content.”

Toolkit Content is owned by Bold Muse Agency, LLC, the owner and operator of REI Compass™, except where third-party content is expressly identified.

Toolkit Content is licensed, not sold.

Members receive a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to use Toolkit Content solely for their own real estate investing, property research, deal evaluation, and investment-management activities.

Members may customize authorized prompts with property-specific information and may enter them into third-party AI services such as ChatGPT, Claude, or Perplexity solely for their own authorized investing activities.

Members may not:

• Sell, resell, sublicense, license, rent, or charge others for Toolkit Content
• Share, give away, publish, post, transmit, redistribute, or publicly display Toolkit Content
• Present Toolkit Content as material they authored or own
• Repackage Toolkit Content into a course, coaching program, membership, workshop, webinar, certification, lead magnet, download, prompt library, software product, chatbot, AI agent, or other product or service
• Use Toolkit Content for clients, students, coaching participants, employees, contractors, business partners, or other unauthorized users
• Use Toolkit Content to build, train, improve, populate, benchmark, or operate a competing product, software platform, AI tool, membership, prompt library, or educational program
• Remove or conceal copyright, trademark, ownership, licensing, attribution, or access-control notices

These restrictions apply whether Toolkit Content is copied exactly or modified, paraphrased, reformatted, reorganized, translated, combined with other materials, or presented under another name.

Members retain ownership of independent property analyses, reports, notes, calculations, and investment decisions created through authorized use of Toolkit Content.

The underlying REI Compass prompt, template, checklist, framework, or instructional material remains protected.

Unauthorized use may result in suspension or termination of access and enforcement of available contractual, copyright, trademark, and other legal rights.

Use of Toolkit Content is also governed by the Investor Toolkit Limited-Use License.

REI Compass™ relies on a small set of vetted service providers, including Supabase, Cloudflare Turnstile, Google OAuth, Lovable Hosting, our AI providers, and Stripe. Your use of the Service is also subject to the applicable terms of these providers where relevant.

We are not responsible for the availability, content, or practices of any third-party service that you choose to connect to or use alongside REI Compass™.

Our Rights

The Service, including its software, design, branding, and content we create, is owned by REI Compass™ and protected by intellectual property laws. Nothing in these Terms transfers ownership of the Service to you. You receive only the limited right to use the Service in accordance with these Terms.

Your Content

You retain ownership of the content you create or upload to the Service ("User Content"). You grant REI Compass™ a limited, non-exclusive, worldwide license to host, process, transmit, and display your User Content solely for the purpose of operating and providing the Service to you.

We do not sell your User Content and we do not use your User Content to train third-party advertising or generative AI models.

To the maximum extent permitted by law, REI Compass™ and its officers, employees, affiliates, and providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to your use of the Service.

Our aggregate liability arising out of or related to these Terms or the Service will not exceed the greater of (a) the fees you paid to REI Compass™ in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100).

The Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

You may stop using the Service and cancel your account at any time. We may suspend or terminate your access to the Service, in whole or in part, if you violate these Terms, create risk or legal exposure for us, or if we are required to do so by law.

On termination, your right to use the Service ends immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, and governing law) will survive.

These Terms are governed by the laws of the United States and the state in which REI Compass™ is domiciled, without regard to its conflict-of-laws principles. You agree to the exclusive jurisdiction and venue of the state and federal courts located in that jurisdiction for any dispute arising out of or related to these Terms or the Service, except where prohibited by applicable law.

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date above and, where appropriate, notify you within the application or by email. Your continued use of the Service after an update constitutes acceptance of the revised Terms.
